BuildThingsDigital SOFTWARE LICENSE TERMS
SENTINEL CONNECT
These license terms are an agreement between you and BuildThingsDigital Corporation (or one of its affiliates). They apply to the software named above and any BuildThingsDigital services or software updates (except to the extent such services or updates are accompanied by new or additional terms, in which case those different terms apply prospectively and do not alter your or BuildThingsDigital’s rights relating to pre-updated software or services). IF YOU COMPLY WITH THESE LICENSE TERMS, YOU HAVE THE RIGHTS BELOW. BY USING THE SOFTWARE, YOU ACCEPT THESE TERMS.
INSTALLATION AND USE RIGHTS.
GENERAL. You may install and use any number of copies of the software.
THIRD PARTY SOFTWARE. The software may include third party applications that are licensed to you under this agreement or under their own terms. License terms, notices, and acknowledgements, if any, for the third party applications may be accessible in an accompanying notices file. Even if such applications are governed by other agreements, the disclaimer, limitations on, and exclusions of damages below also apply to the extent allowed by applicable law.
DATA COLLECTION. The software does NOT collect information about you and your use of the software.
SCOPE OF LICENSE. The software is licensed, not sold. BuildThingsDigital reserves all other rights. Unless applicable law gives you more rights despite this limitation, you will not (and have no right to):
- work around any technical limitations in the software that only allow you to use it in certain ways;
- reverse engineer, decompile or disassemble the software;
- remove, minimize, block, or modify any notices of BuildThingsDigital or its suppliers in the software;
- use the software for commercial, non-profit, or revenue-generating activities unless you have commercial use rights under a separate agreement;
- use the software in any way that is against the law or to create or propagate malware; or
- share, publish, distribute, or lend the software, provide the software as a stand-alone hosted solution for others to use, or transfer the software or this agreement to any third party.
SUPPORT SERVICES. BuildThingsDigital is not obligated under this agreement to provide any support services for the software. Any support provided is “as is”, “with all faults”, and without warranty of any kind.
UPDATES. The software may periodically check for updates, and download and install them for you. You may obtain updates only from BuildThingsDigital or authorized sources. You agree to receive these automatic updates without any additional notice. Updates may not include or support all existing software features, services, or peripheral devices.
TERMINATION. Without prejudice to any other rights, BuildThingsDigital may terminate this agreement if you fail to comply with any of its terms or conditions. In such event, you must destroy all copies of the software and all of its component parts.
EXTERNAL SERVICES. The Licensed Application may enable access to BuildThingsDigital and/or third-party services and websites (collectively and individually, “External Services”). You agree to use the External Services at your sole risk. BuildThingsDigital is not responsible for examining or evaluating the content or accuracy of any third-party External Services, and shall not be liable for any such third-party External Services. Data displayed by any Licensed Application or External Service, including but not limited to financial, medical and location information, is for general informational purposes only and is not guaranteed by BuildThingsDigital or its agents. You will not use the External Services in any manner that is inconsistent with the terms of this License Agreement or that infringes the intellectual property rights of BuildThingsDigital or any third party. You agree not to use the External Services to harass, abuse, stalk, threaten or defame any person or entity, and that BuildThingsDigital is not responsible for any such use. External Services may not be available in all languages or in your Home Country, and may not be appropriate or available for use in any particular location. To the extent you choose to use such External Services, you are solely responsible for compliance with any applicable laws. BuildThingsDigital reserves the right to change, suspend, remove, disable or impose access restrictions or limits on any External Services at any time without notice or liability to you.
LEGAL COMPLIANCE. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as “terrorist supporting” country; and you are not listed on any U.S. Government list of prohibited or restricted parties.
ENTIRE AGREEMENT. This agreement, and any other terms BuildThingsDigital may provide for supplements, updates, or third-party applications, is the entire agreement for the software.
DISCLAIMER OF WARRANTY. YOU BEAR THE RISK OF USING THE SOFTWARE. BuildThingsDigital GIVES NO EXPRESS WARRANTIES, GUARANTEES, OR CONDITIONS. TO THE EXTENT PERMITTED UNDER APPLICABLE LAWS, BuildThingsDigital EXCLUDES ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE SOFTWARE RELIES ON MICROSOFT APIs. IN CASE THESE APIs CHANGE THIS SOFTWARE MAY NOT WORK ANYMORE.
LIMITATION ON AND EXCLUSION OF DAMAGES. YOU CANNOT RECOVER ANY DAMAGES, INCLUDING CONSEQUENTIAL, LOST PROFITS, SPECIAL, INDIRECT OR INCIDENTAL DAMAGES. This applies to (a) anything related to the software, services, content (including code) on third party Internet sites, or third party applications; and (b) claims for breach of contract, warranty, guarantee, or condition; strict liability, negligence, or other tort; or any other claim; in each case to the extent permitted by applicable law. It also applies even if BuildThingsDigital knew or should have known about the possibility of the damages.
